Welcome to Site Panic. These Terms & Conditions (“Terms”) govern your use of the website at sitepanic.com (the “Site”) and the web design, development, e-commerce, SEO, and related services (“Services”) provided by Site Panic LLC (“Site Panic,” “we,” “us,” or “our”), a company based in St. George, Utah. By using our Site or engaging our Services, you agree to these Terms.
1. Our Services
Site Panic provides website design and development, e-commerce builds, Shopify and WordPress work, website support and speed optimization, and SEO/AI-optimization services. The specific scope, deliverables, timeline, and price of any project are defined in a separate written proposal or quote agreed between you and Site Panic. If anything in a signed proposal conflicts with these Terms, the proposal controls for that project.
2. Quotes, Estimates & Payment
Quotes are based on the information available at the time and are valid for 30 days unless stated otherwise. Work begins after a quote is accepted and any required deposit is received. Ongoing plans (support, maintenance, SEO) are billed on a recurring basis and continue until cancelled per the plan terms. Late or failed payments may pause active work or services.
3. Client Responsibilities
You agree to provide timely content, feedback, access, and approvals needed to complete your project, and you confirm that any materials you provide (text, images, logos, etc.) are yours to use and do not infringe anyone’s rights. Delays in providing materials may affect timelines.
4. SEO & Performance Disclaimer
Search engines and AI systems are controlled by third parties, and their ranking and results are outside our control. We follow current best practices, but we do not and cannot guarantee specific rankings, traffic levels, leads, sales, or revenue. SEO results take time and vary by market and competition.
5. Intellectual Property
Upon full payment for a project, you own the final deliverables we create specifically for you, except for third-party components, stock assets, fonts, plugins, and pre-existing tools or frameworks, which remain licensed under their own terms. Site Panic retains the right to display completed work in our portfolio and marketing unless agreed otherwise in writing. All Site content, branding, and code that is not a client deliverable remains our property.
6. Third-Party Services
Our work often relies on third-party platforms (for example WordPress, Shopify, hosting providers, analytics, and plugins). Your use of those services is subject to their own terms, and we are not responsible for their availability, changes, or actions.
7. Acceptable Use
You agree not to misuse the Site, attempt to disrupt it, access it in unauthorized ways, or use it for unlawful purposes.
8. Warranties & Disclaimer
The Site and Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the fullest extent permitted by law, Site Panic will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total liability for any claim relating to a project or the Services will not exceed the amount you paid to Site Panic for the work giving rise to the claim.
10. Indemnification
You agree to indemnify and hold Site Panic harmless from claims arising out of content or materials you provide, or your misuse of the Site or Services.
11. Termination
Either party may end an engagement in writing. You remain responsible for payment for work completed up to the termination date.
12. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Utah.
13. Changes to These Terms
We may update these Terms from time to time. Changes take effect when posted, and the “Last updated” date will change. Continued use of the Site or Services means you accept the updated Terms.
